Terms of Service

These Terms of Service ("Terms") are an agreement between you ("you", "Customer") and NEXTAPP LABS S.R.L., Strada Budeasa Mare nr. 228, Sat Budeasa Mare, Comuna Budeasa, Județ Argeș, Romania, company ID (CUI) 52062227, Trade Register no. J2025047098001, which operates the Halfbill service ("Halfbill", "we", "us"). They govern your use of the Halfbill website at halfbill.uk, the Halfbill API at api.halfbill.uk, Halfbill Chat at chat.halfbill.uk, the dashboard, the documentation and any related services (together, the "Service").
By creating an account or using the Service you agree to these Terms and to our Privacy Policy, Refund Policy and Acceptable Use Policy, which are part of these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to bind it.
1. The Service
1.1 Halfbill provides access to large language models developed by third parties (currently Anthropic and OpenAI) through an OpenAI-compatible API, an Anthropic-compatible API and a web chat, together with a dashboard for usage, spend limits and billing.
1.2 Halfbill is an independent service and is not affiliated with, endorsed by, or sponsored by OpenAI or Anthropic. Model names are trademarks of their respective owners. The models available, their specifications and their prices are listed at halfbill.uk/models and may change as the upstream vendors change their offerings.
1.3 We may add, change or remove models, features and endpoints. Where a change materially reduces the Service you have paid for, section 6 (Refunds) applies.
2. Accounts
2.1 You must be at least 18 years old and provide accurate account information. You are responsible for everything done with your account and your API keys.
2.2 API keys are secrets. Keep them confidential, rotate them if you suspect exposure, and use the per-key spend limits in the dashboard. We are not liable for usage made with a key you failed to protect, except where the exposure was caused by us.
2.3 We may suspend an account that violates these Terms or the Acceptable Use Policy, presents a security or fraud risk, or has an unpaid balance. Where reasonable we will notify you first and give you a chance to remedy.
3. Credits, subscriptions and prices
3.1 Prices. Per-token prices for each model are shown on the pricing and models pages in USD per one million tokens, excluding VAT. The price in force when a request is processed applies. We may change prices at any time; price changes do not affect credits already purchased, which are spent at the price in force when each request is processed.
3.2 Prepaid credits. Credits are a prepaid balance in USD used to pay for requests. Credits are personal to your organization, are not transferable and cannot be exchanged for cash except as set out in the Refund Policy. Bonus credits granted with a top-up pack have no cash value. Credits remain valid for 12 months from your most recent purchase; a new purchase extends the validity of your whole balance. Credits that have expired are forfeited.
3.3 Subscriptions. Chat and Code plans are billed monthly in advance. Each plan includes a monthly usage allowance at Halfbill prices as described on the pricing page; some plans additionally cap weekly usage of the most expensive models, as shown on the pricing page. Unused allowance does not roll over. Usage above the allowance is charged to your credits, or the relevant key stops, according to the setting you choose. Subscriptions renew automatically until cancelled; you can cancel at any time in the dashboard and the plan remains active until the end of the paid month.
3.4 Teams. Team plans are agreed by email until self-serve checkout is available; the agreed terms are set out in the order confirmation and are otherwise subject to these Terms.
3.5 Taxes. Prices exclude VAT and other applicable taxes. VAT is applied at checkout for customers in the EU unless you provide a valid EU VAT identification number, in which case the reverse-charge mechanism applies. You are responsible for any taxes due in your jurisdiction.
3.6 Payment. Payments are processed by our payment processor, Stripe; we do not store full card numbers. If a payment fails or is reversed, we may suspend the Service until the balance is settled.
4. Using the API and the chat
4.1 You may use the Service to build applications and to interact with the models, subject to the Acceptable Use Policy and to the usage policies of the upstream model vendors that apply to output from their models.
4.2 Rate limits and spend limits apply per organization and per API key as shown in the dashboard. We may throttle or reject requests that exceed them or that threaten the stability of the Service.
4.3 You retain all rights in the prompts and other content you submit ("Input") and, as between you and Halfbill, in the responses generated for you ("Output"). We claim no ownership of Input or Output. You grant us the limited rights needed to process Input and return Output, to operate the Service and to comply with law, as described in the Privacy Policy.
4.4 Output is generated by statistical models and may be inaccurate, incomplete, offensive or infringing. You are responsible for evaluating Output before relying on it. Do not use Output for decisions with legal, medical, financial or safety consequences without independent human review.
5. Data and privacy
5.1 By default we do not store the content of prompts or responses. We store request metadata (model, token counts, latency, cost, key and project identifiers) for 30 days for billing and troubleshooting. You may enable content retention for a project in the dashboard, in which case content is stored for the period you select. Details are in the Privacy Policy.
5.2 To generate Output, Input is transmitted to the infrastructure that runs the selected model, which may be located outside the European Economic Area. The Privacy Policy describes the safeguards used for such transfers.
5.3 Where you submit personal data of third parties through the Service, you are the controller and we are your processor for that data. Our data processing terms are available on request at legal@halfbill.uk.
6. Refunds and cancellation
Refunds of unused credits and cancellation of subscriptions are governed by the Refund Policy. In short: unused credits are refundable within 14 days of purchase, minus the value consumed; subscriptions can be cancelled at any time and run until the end of the paid month.
7. Availability and support
7.1 We design and operate the Service with a target availability of 99.9% per month for the API. This is an operational target, not a contractual service level, and no service credits are attached to it unless agreed in writing for a Teams plan.
7.2 Support is provided by email at support@halfbill.uk during business hours in Romania. We aim to respond within one business day.
8. Intellectual property
The Service, including its software, documentation, design and the Halfbill name and logo, belongs to Halfbill or its licensors. These Terms grant you no rights in them other than the right to use the Service as described. Feedback you give us may be used without obligation to you.
9. Warranties and disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not warrant the accuracy of Output or the continued availability of any specific model. Nothing in these Terms limits the statutory rights of consumers under Romanian or EU law.
10. Limitation of liability
10.1 To the extent permitted by law, Halfbill is not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill, or for the cost of substitute services.
10.2 Our total liability arising out of or in connection with the Service in any twelve-month period is limited to the amounts you paid us for the Service in that period.
10.3 These limits do not apply to liability for death or personal injury caused by negligence, for fraud or gross negligence, or to any liability that cannot be limited under applicable law.
11. Indemnity
If you are a business customer, you will indemnify Halfbill against third-party claims arising from your Input, your applications or your breach of these Terms or the Acceptable Use Policy.
12. Termination
You may close your account at any time from the dashboard. We may terminate these Terms with 30 days' notice, or immediately for a material breach that is not remedied within 7 days of notice, or where required by law. On termination your access ends, subscriptions are cancelled and any remaining credits are handled under the Refund Policy. Sections 4.3, 4.4, 8 to 11 and 13 to 15 survive termination.
13. Changes to these Terms
We may update these Terms. Material changes will be announced by email or in the dashboard at least 14 days before they take effect. If you do not agree with a change you may terminate under section 12 before it takes effect; continued use after that date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of Romania, without prejudice to mandatory consumer-protection rules of the country where a consumer customer resides. Disputes are subject to the competent courts of Romania. Consumers may also contact the Romanian consumer protection authority (ANPC, anpc.ro) and its alternative dispute resolution service (SAL).
15. General
If a provision of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of our business. These Terms, together with the policies referenced in them, are the entire agreement between you and Halfbill regarding the Service.
